§1Model wording
3.1 Collection. The Seller shall collect used pallets ("Cores") from the locations in Schedule D at least [weekly], or within [2] business days of the Buyer's request when [n] or more trailer positions are filled.
3.2 Grading and credit. The Seller shall grade Cores using the definitions in Schedule D and credit the Buyer the amounts in Schedule A for each grade. Cores that are broken beyond repair carry the disposal charge in Schedule A.
3.3 Counts. The Seller shall provide a count by grade within [3] business days of collection. The Buyer may dispute a count within [5] business days; disputed loads shall be recounted jointly or settled from the Buyer's dock photographs.
3.4 Netting. Credits shall be shown on, and netted against, the next purchase invoice.
Values in [square brackets] are yours to set. Have counsel review before use; this is not legal advice.
§2Negotiation notes
If purchase prices are indexed, index the credits too, or the gap between what you pay and what you get back will drift.
Grading at the supplier's yard, out of your sight, is the main source of disputes. Photographs at loading help.
