§1Model wording
9.1 Request. The Buyer may request a change to the Specification on [30] days' written notice.
9.2 Pricing. The Seller shall quote the change within [10] business days, showing the change in material and labour per pallet. The adjusted Price then becomes subject to Clause 1 from the same Base Index.
9.3 Stock. The Buyer shall buy, at the contract Price, finished pallets of the old Specification held for it up to [2] weeks of forecast volume.
Values in [square brackets] are yours to set. Have counsel review before use; this is not legal advice.
§2Negotiation notes
Requiring the supplier to show material and labour (9.2) keeps spec changes from becoming a backdoor price rise.
Keep a version number and date on the spec sheet and refer to it in each purchase order. When a receiver changes its rules, the version tells both sides which pallets were ordered against which spec, and which stock on hand is still usable.
Ask the supplier to say in writing how long it needs to switch, and what it will do with pallets already built to the old spec. A short transition period where both specs are accepted avoids scrapping good stock.
